RC Law regularly assists non-US companies in establishing a presence in the United States, advising on the choice of entity and jurisdiction (which is often tax driven), forming the selected vehicle, and generally, guiding the client until the new company is ready to operate. From then on, we provide recurring advice on corporate government and compliance.
We have particularly strong expertise in commercial law. Our clients look to us for assistance in the drafting and negotiation of complex supply, manufacturing, distribution, agency, licensing, R&D, technical assistance, engineering, installation, and other agreements, to meet their business needs. Some of these are “inter-company” contracts, to help our international clients comply with applicable transfer pricing regulations.
We also have vast experience in reorganizations, conversions, and domestications, having assisted many of our clients achieve a more “lean” and effective structure in the United States and to relocate to more efficient jurisdictions. We routinely carry out the necessary operations to coordinate a merger or company acquisition. Our practice liaises with and assists our clients through the entire merger or acquisition process: from analyzing risks and determining the benefits of that transaction, to negotiating and drafting the relevant documents and, through post-implementation and “cleanup” matters.

RC LAW ADVISED ZICLA ON A MANUFACTURING AND SUPPLY AGREEMENT WITH THE CITY OF NEW YORK
ZICLA, a Spanish company offering safety and transportation integration solutions for bicycle sharing systems, retained RC LAW to be advised on the negotiation of a manufacturing and supply contract with the city of New York. Zicla had been awarded a $3,000,000 “sole source” agreement by the New York City Department of Transportation to supply temporary bus boarders to the City of New York. The contract was awarded in April of 2018.
